1. Acceptance of Terms

By accessing the RazorBass Technical Service Center website, engaging our services, or otherwise doing business with RazorBass Technical Service Center (“RazorBass,” “we,” “us,” or “our”), you (“Customer,” “you,” or “your”) agree to be bound by these Terms and Conditions. If you do not agree to these terms, do not use our website or services. We reserve the right to modify these terms at any time without prior notice. Continued use of our website or services following any changes constitutes acceptance of those changes.

2. Services Offered

RazorBass Technical Service Center provides information technology support for various platforms including but not limited to Windows, macOS, and Linux; electronics repair; web development; web hosting; IT security consulting and services; and remote technical support. Services are provided remotely, at client locations, or through shipping arrangements for device repairs. We do not maintain a public storefront or walk-in service location. The specific scope, pricing, and timeline for any service engagement will be established through direct communication, written estimate, or service agreement between RazorBass and the Customer.

3. No Guaranteed Outcomes

Technology services involve inherent uncertainties. While we strive to resolve issues and complete projects to your satisfaction, we cannot and do not guarantee specific outcomes, results, or timeframes. IT support and repair services depend on factors beyond our control, including hardware condition, software conflicts, third-party services, and the accuracy of information you provide. Web development and hosting services are subject to third-party platform availability, internet connectivity, and evolving technology standards.

4. Customer Responsibilities

You are responsible for maintaining current backups of all data on devices or systems submitted for service or accessed during remote support sessions. You are responsible for providing accurate and complete information regarding the issues you are experiencing and the history of your devices or systems. You must have legal authority over any devices, accounts, or systems you submit for service or grant us access to. You agree to review and test all deliverables promptly and provide timely feedback during project engagements.

5. Data Backup and Loss

⚠️ Important: RazorBass Technical Service Center is not responsible for any loss, corruption, or disclosure of data resulting from service work, whether performed at your location, remotely, or on devices shipped to us for repair.

This includes but is not limited to data stored on hard drives, solid-state drives, removable media, cloud services, or any other storage medium. You acknowledge that repair and support work carries inherent risk to data and agree to maintain independent backups before engaging our services. While we take reasonable precautions to protect your data, we expressly disclaim any liability for data loss under any circumstances.

6. Remote Support and Access

When you engage our remote support services, you grant RazorBass temporary access to your computer, network, or systems for the purpose of diagnosis and repair. You are responsible for ensuring that remote access does not violate any employer policies, contractual obligations, or applicable laws. You should remain present during remote sessions when possible and close any applications containing sensitive information before the session begins.

We will not knowingly access, copy, or retain personal files, financial information, or confidential data beyond what is necessary to perform the requested service. RazorBass is not liable for any unauthorized access to your systems by third parties that may occur before, during, or after our remote session.

7. On-Site Services

For services performed at your location, you agree to provide a safe and reasonable working environment with adequate access to the equipment requiring service and necessary power and network connectivity. You are responsible for ensuring that our access to your premises is authorized by any relevant property owners, employers, or other parties with authority over the location. RazorBass is not liable for any pre-existing conditions at your location or any issues unrelated to the specific services performed. Travel fees and minimum service charges may apply for on-site visits and will be communicated before scheduling.

8. Electronics Repair and Shipping

Devices submitted for repair via shipping or courier are sent at your own risk and expense. We recommend using insured shipping with tracking for all devices sent to us. RazorBass is not responsible for damage or loss occurring during transit to or from our service location.

Once received, devices may be subject to diagnostic fees, which will be communicated before repair work begins. If a repair is not feasible or cost-effective, you will be notified and given the option to proceed, retrieve your device, or authorize disposal. By submitting a device for repair, you certify that you are the legal owner or authorized representative of the owner.

RazorBass is not responsible for pre-existing damage, undisclosed issues, cosmetic wear, or defects unrelated to the repair performed. Certain repairs may require replacement parts that are refurbished, third-party, or otherwise not original equipment manufacturer components. Return shipping costs are the responsibility of the Customer unless otherwise agreed.

⚠️ Abandoned Devices: Devices for which repair is declined or completed but not retrieved or paid for within 90 days of notification may be considered abandoned and disposed of or recycled at our discretion.

9. Web Development Services

Custom web development projects are governed by the specific terms established in project proposals, contracts, or statements of work. Unless otherwise agreed in writing, you retain ownership of original content you provide, and RazorBass retains ownership of custom code, scripts, and design elements until final payment is received, at which point ownership transfers to you. Third-party components, frameworks, libraries, and assets remain subject to their respective licenses.

You are responsible for reviewing deliverables and providing approval or change requests within agreed timeframes. Failure to respond within 14 days of deliverable submission constitutes approval. RazorBass is not responsible for conflicts with third-party plugins, themes, or services integrated at your request, nor for issues arising from modifications made by you or others after project delivery.

10. Web Hosting Services

Web hosting services are provided on a subscription basis as specified in your hosting agreement. RazorBass strives to maintain reasonable uptime but does not guarantee uninterrupted service availability. We are not liable for downtime resulting from scheduled maintenance, circumstances beyond our control, third-party service failures, or actions taken to protect network integrity.

You are solely responsible for the content hosted on your account and agree not to host any material that is unlawful, infringing, defamatory, obscene, threatening, or otherwise objectionable. We reserve the right to suspend or terminate hosting services immediately and without refund if your account is used in violation of these terms or poses a risk to our systems or other customers. You are responsible for maintaining backups of your hosted content; while we may perform routine backups, we do not guarantee their availability or integrity.

11. IT Security Services

IT security consulting and services are advisory in nature. While we provide recommendations based on industry standards and best practices, no security measure can guarantee complete protection against all threats. Implementation of our recommendations remains your responsibility, and outcomes depend on factors including your adherence to our guidance, your internal policies and practices, and the evolving nature of security threats.

RazorBass is not liable for security incidents, breaches, or losses occurring before, during, or after our engagement, regardless of whether our recommendations were implemented. Any penetration testing, vulnerability assessment, or security audit services require explicit written authorization and are limited in scope to the systems and timeframes specified.

12. Payment Terms

Payment terms are established at the time of service engagement. Unless otherwise agreed, payment is due upon completion of service or delivery of final project milestones. We accept payment methods as communicated at the time of service.

💰 Late Payment: Invoices not paid within 30 days of the due date may be subject to late fees of 1.5% per month or the maximum rate permitted by law, whichever is lower.

We reserve the right to suspend services, withhold deliverables, retain devices until payment is received, or pursue collection remedies for unpaid balances. You agree to pay reasonable attorney fees and collection costs incurred in recovering unpaid amounts.

13. Limitation of Liability

To the fullest extent permitted by law, RazorBass Technical Service Center, its owner, employees, contractors, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising from or related to your use of our website or services, regardless of whether such damages were foreseeable or whether we were advised of their possibility.

Our total cumulative liability for any claims arising from or related to any service engagement shall not exceed the total amount you paid to RazorBass for that specific service engagement. Some jurisdictions do not allow limitations on implied warranties or exclusion of certain damages; in such jurisdictions, our liability shall be limited to the greatest extent permitted by law.

14. Disclaimer of Warranties

All services and website content are provided “as is” and “as available” without warranties of any kind, either express or implied. RazorBass expressly disclaims all implied warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that our services will meet your specific requirements, that results will be accurate or reliable, that our website will be uninterrupted or error-free, or that defects will be corrected. Any advice or information obtained from RazorBass, whether oral or written, does not create any warranty not expressly stated in these terms.

15. Indemnification

You agree to indemnify, defend, and hold harmless RazorBass Technical Service Center, its owner, employees, contractors, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney fees) arising from or related to your use of our website or services; your violation of these terms; your violation of any applicable law or regulation; your violation of any third-party rights, including intellectual property rights; any content you provide or host through our services; or any dispute between you and any third party.

16. Intellectual Property

All content on the RazorBass Technical Service Center website, including text, graphics, logos, images, and software, is the property of RazorBass or its content suppliers and is protected by intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any website content without our express written permission. These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Arkansas, without regard to conflicts of law principles. Any dispute arising from or relating to these terms or your use of our website or services shall be resolved exclusively in the state or federal courts located in Sebastian County, Arkansas, and you consent to the personal jurisdiction of such courts. Before initiating any legal proceeding, you agree to attempt to resolve any dispute informally by contacting RazorBass directly.

20. Severability

If any provision of these Terms and Conditions is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

21. Entire Agreement

These Terms and Conditions, together with any service agreements, project proposals, or other written agreements between you and RazorBass, constitute the entire agreement between the parties regarding the subject matter hereof and supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written.
